1. Acceptance of Terms

By accessing or using DataBelly ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service. These Terms apply to all visitors, users, and others who access the Service. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Description of Service

DataBelly is an AI-native database platform that enables users to create structured databases with intelligent features including AI-powered smart columns, autonomous agents, multiple view types (grid, kanban, calendar, gallery), forms, and API access. The Service combines the simplicity of spreadsheets with the power of artificial intelligence to help teams organize, enrich, and act on their data.

3. Accounts

To use certain features of the Service, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. You are responsible for safeguarding your password and for all activities that occur under your account. You agree to notify us immediately of any unauthorized access to or use of your account. DataBelly will not be liable for any loss or damage arising from your failure to comply with this section.

You agree not to use the Service to:

• Engage in any activity that is illegal, fraudulent, or harmful to others.
• Scrape, crawl, or access the Service through automated means beyond reasonable use of our published API.
• Attempt to reverse engineer, decompile, or disassemble any part of the Service.
• Interfere with or disrupt the integrity or performance of the Service.
• Upload or transmit viruses, malware, or other malicious code.
• Use the AI features to generate content that is illegal, abusive, or violates the rights of others.
• Attempt to circumvent any usage limits, rate limits, or access controls.

6. Data Ownership

You retain all rights, title, and interest in and to the data you upload, create, or store through the Service ("Your Data"). DataBelly claims no intellectual property rights over Your Data. You grant DataBelly a limited license to use Your Data solely to provide and improve the Service, including processing Your Data through AI models for smart column computations and agent runs. You may export Your Data at any time through the platform's export functionality or API.

7. Payment Terms

A free tier is available with limited features and usage. Paid plans are billed monthly or annually, as selected at the time of purchase. All fees are non-refundable except as required by law or at our sole discretion. We reserve the right to change pricing with 30 days' notice. Failure to pay may result in suspension or termination of your account. Taxes are your responsibility where applicable.

8. Service Availability

We strive to maintain high availability of the Service but cannot guarantee uninterrupted access. The Service is provided on a best-effort uptime basis. No Service Level Agreement (SLA) is provided for the Free tier. Enterprise customers may negotiate custom SLAs as part of their agreement. We reserve the right to perform maintenance with reasonable advance notice. We are not liable for any downtime, data loss, or service interruptions caused by factors beyond our reasonable control.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DATABELLY AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; (C) ANY AI-GENERATED OUTPUTS OR AGENT ACTIONS; OR (D) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT. IN NO EVENT SHALL OUR AGGREGATE LIABILITY EXCEED THE GREATER OF ONE HUNDRED DOLLARS ($100) OR THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM.

10. Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms. Upon termination, your right to use the Service will immediately cease. You may request a copy of your data within 30 days of termination. After 30 days, we reserve the right to delete your data permanently. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the federal or state courts located in San Francisco County, California, and you hereby consent to the personal jurisdiction and venue therein.
